Royalty-Free Image License Agreement

NOTICE: Please read this agreement carefully. By downloading, copying or using all or any portion of the images you accept all the terms and conditions of this agreement. This agreement is enforceable against you and any legal entity that obtained the images and on whose behalf they are used.

1. Definitions

In these terms and conditions:
 'HSI' means 'herbalstockimages.com'.
 'You' means a party who uses this Website or who downloads any digital image(s). If You use the Website or download a digital image on behalf of Your employer this definition will include Your employer.
'Images' means all of the information with which this agreement is provided, including but not limited to stock photographs, images, illustrations, other artistic works,  provided to you by HSI at any time, to the extent not provided under a seperate agreement.
'Website' means the whole or any part of the web site pages located at http://www.herbalstockimages.com (including the layout of the Website, graphic design elements of the web site pages, underlying code elements and any text, graphics, sounds, animated elements or other content of the Website).

2. Permitted Uses and Rights

(a) License Grant. By obtaining the image from HSI and provided that you comply with the terms of this agreement, a non-exclusive, non-transferable, worldwide right to copy, reproduce, transmit, distribute or display the images an unlimited number of times in any and all media.
(b) Modify. You may alter, crop, manipulate the images, subject to the license granted and restrictions that apply.
(c) Where the license is granted for use by charities or educational institutions and where license fees have been waived, the license hereby granted is expressly subject to the condition that the copyright notice "© Herbal Stock Images. All rights reserved." appears adjacent to the image.

3. Restrictions

(a) You may not sub-license, sell, rent, lease, assign, convey or transfer any of your rights under this agrrement.
(b) You may not make the images available online in a downlodable format or post images in electronic format.
(c) The images may not be used in a manner which is pornographic, defamatory, obscene or unlawful.
(d) The copyright information, the image identification number and any other information that may be embedded in the electronic file containing the original image must be reatained.

4. Limited Warranty

HSI warrants the image files to be free from material defects for 30 days after delivery.

5. Limitation of Liability

Under no circumstances will HSI be liable for any direct, incidental, consequential, indirect or punitive damages as a result of the use of the HSI website or from your access or use of the images on the HSI website.

5. Indemnity

You agree to indemnify and hold HSI harmless from any and all claims, liabilities, damages, costs and expenses arising from the use of an image or any breach of this agreement.

6. Termination

HSI reserves the right to automatically terminate any license issued by it without notice if you fail to comply with any provisions of this agreement or any license agreement issued by HSI. Upon termination, you and your employer must immediately stop using the Image(s), delete the Image(s) and all copies from all magnetic media and destroy all other copies.
